Conditional Offer - Terms and Conditions

In these Terms and Conditions, the following words have the meanings set out below:

1.1 "Learnpally Finance", "we", "us", "our" means the regulated private lending firm operating the educational loans scheme at finance.learnpally.com.

1.2 "Applicant", "you", "your" means the individual who has submitted a loan application and is requesting a Conditional Offer.

1.3 "Application" means the loan application submitted through the Learnpally Finance portal at finance.learnpally.com/pofmba.

1.4 "Conditional Offer" means the letter issued by Learnpally Finance confirming that an Application has passed initial assessment and is under full review. It does not constitute a binding commitment to lend.

1.5 "Conditional Offer Fee" or "Fee" means the non-refundable payment of €39.80 (or the Naira equivalent at the prevailing rate at the time of payment) required to obtain a Conditional Offer.

1.6 "Final Decision" means the outcome of the full 25-working-day review process, which will result in either loan approval or cancellation of the Application.

1.7 "Working Day" means any day that is not a Saturday, Sunday, or a public holiday in the jurisdiction of Learnpally Finance's operations.

2.1 A Conditional Offer is an early-stage indication that your Application has passed an initial eligibility and merit assessment conducted by Learnpally Finance.

2.2 A Conditional Offer is NOT a final loan approval, a binding offer to lend, or a guarantee that your Application will be approved. The full underwriting and verification process continues after the Conditional Offer is issued.

2.3 The Conditional Offer letter will state your name, the institution and programme you applied for, the loan amount requested, and confirmation that your Application is under full review.

2.4 The Conditional Offer may be used to support time-sensitive processes such as visa applications or university enrolment confirmations, but Learnpally Finance makes no representation as to its acceptance by any third party, including immigration authorities or educational institutions.

2.5 A Conditional Offer remains valid only for the duration of the 25-working-day review window from the date of your Application submission. It does not extend or alter the review timeline.

3.1 The Conditional Offer Fee is €39.80. Where payment is made in Nigerian Naira, the Naira equivalent is calculated at the prevailing exchange rate at the time of payment and will be displayed at checkout. Learnpally Finance is not responsible for exchange rate fluctuations.

3.2 Payment of the Fee is required in full before a Conditional Offer will be issued.

3.3 By completing payment, you confirm that you have read, understood, and agree to these Terms and Conditions in their entirety.

3.4 NON-REFUNDABILITY: The Conditional Offer Fee is strictly non-refundable. This applies in all circumstances without exception, including but not limited to: (a) withdrawal of your Application before a Final Decision; (b) cancellation of your Application following full review; (c) your decision not to proceed with the loan after receiving a Conditional Offer; (d) changes to your personal circumstances, programme, or institution; (e) visa refusal or rejection by any third party; and (f) any technical issue arising outside Learnpally Finance's direct control.

3.5 You expressly acknowledge that the Fee compensates Learnpally Finance for the administrative and operational cost of conducting an initial assessment and producing the Conditional Offer letter, and that this cost is incurred regardless of the Final Decision.

4.1 Upon successful payment, a Conditional Offer will be issued instantly, provided your Application is within the active 25-working-day review window.

4.2 The Conditional Offer will be made available through your account dashboard at finance.learnpally.com and/or delivered to the email address registered with your account.

4.3 If your Application is outside the 25-working-day review window at the time of payment — for example, because a Final Decision has already been reached — Learnpally Finance reserves the right to withhold issuance of the Conditional Offer. In such cases, you will be contacted at support@learnpally.com; however, the Fee remains non-refundable.

4.4 Learnpally Finance is not responsible for non-receipt of the Conditional Offer arising from an incorrect email address, spam filtering, or any other factor outside our control. It is your responsibility to ensure your account details are accurate.

5.1 Receipt of payment and issuance of a Conditional Offer does not alter, accelerate, or influence the standard 25-working-day Application review process in any way.

5.2 During the review period, Learnpally Finance may request additional information or documentation from you. Failure to provide requested information within a reasonable timeframe may result in cancellation of your Application.

5.3 A Final Decision will be communicated to you through your account dashboard and/or by email within 25 Working Days of your Application submission date.

5.4 The Final Decision is made entirely at the discretion of Learnpally Finance and is based on the full review of your Application, supporting documents, and any additional information provided.

5.5 Learnpally Finance reserves the right to cancel an Application where information is found to be incomplete, inaccurate, inconsistent, or unverifiable, irrespective of whether a Conditional Offer has been issued.

6.1 By submitting an Application and requesting a Conditional Offer, you confirm that all information provided in your Application is true, accurate, complete, and not misleading.

6.2 You confirm that you are an African national and that you have received a valid admission offer (conditional or unconditional) from a recognised institution abroad.

6.3 Provision of false, misleading, or fraudulent information will result in immediate cancellation of your Application and may be reported to relevant authorities. No refund of the Conditional Offer Fee will be made in such circumstances.

7.1 A Conditional Offer does not constitute a loan agreement. No funds will be disbursed until a final loan agreement has been signed by both the Applicant and Learnpally Finance.

7.2 All approved loans are subject to contract. The terms of any loan including the interest rate, repayment schedule, and disbursement currency will be set out in the final loan agreement presented at the approval stage.

7.3 Learnpally Finance's policy is that tuition fee components of approved loans are disbursed directly to the educational institution.

7.4 All applications and loan amounts are denominated in EUR. The Applicant is responsible for any currency conversion costs. Disbursement currency will be confirmed in the final loan agreement.

8.1 By submitting an Application and requesting a Conditional Offer, you consent to Learnpally Finance processing your personal data for the purposes of assessing your Application, issuing the Conditional Offer, and communicating with you about your loan.

8.2 Learnpally Finance will handle your personal data in accordance with its Privacy Policy, available at finance.learnpally.com.

8.3 Your data will not be sold to third parties. It may be shared with trusted service providers acting on our behalf solely for the purpose of processing your Application.

9.1 Learnpally Finance's liability in connection with the Conditional Offer is limited to the issuance of the letter as described in these Terms. We are not liable for any loss, cost, or damage arising from a third party's refusal to accept the Conditional Offer.

9.2 Learnpally Finance is not responsible for any loss or damage arising from your reliance on a Conditional Offer that does not result in final loan approval.

9.3 Nothing in these Terms limits Learnpally Finance's liability for fraud, wilful misconduct, or any matter that cannot be excluded or limited by law.

10.1 Learnpally Finance reserves the right to amend these Terms at any time. Any changes will be published at finance.learnpally.com and will apply to requests made after the updated version is posted.

10.2 The Terms in force at the time you complete payment are the Terms that govern your Conditional Offer.

11.1 These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Learnpally Finance is registered.

11.2 Any disputes arising from these Terms or the Conditional Offer process shall be referred in the first instance to Learnpally Finance's support team at support@learnpally.com. We will endeavour to resolve all disputes within 10 Working Days.

11.3 If a dispute cannot be resolved informally, both parties agree to submit to the exclusive jurisdiction of the competent courts in Learnpally Finance's operating jurisdiction.
